TERMS & CONDITIONS

1. AGREEMENT TO OUR LEGAL TERMS
We are Regan Roberts, trading as Regan Web Design ("we," "us," "our"), a sole trader operating in Scotland. Our business address is [insert your business address]. You can contact us by email at info“@“reganwebdesign.com or via our website at www.reganwebdesign.com.
We provide website design, development, copywriting, search engine optimisation (SEO), domain/hosting setup, and ongoing website maintenance services, primarily using the Squarespace platform, for small and medium-sized businesses and individuals (the "Services").
These Terms and Conditions ("Legal Terms") govern:
Your use of and access to our website at www.reganwebdesign.com (the "Website").
Any project, service, or ongoing maintenance plan we carry out for you, alongside the written proposal, estimate, or contract agreed for your specific project (the "Project Contract").
By browsing our Website, signing a Project Contract, or confirming acceptance in writing (including electronically via email or digital signature), you agree to be bound by these Legal Terms. If there is a direct conflict between these Legal Terms and the Project Contract, the Project Contract will take priority for that specific project.
Business Clients vs. Consumers
A "Business Client" is any entity, company, partnership, or individual contracting with us wholly or predominantly for purposes related to their business, trade, craft, or profession (including sole traders).
A "Consumer" is an individual contracting with us wholly or mainly outside their business, trade, or profession.
Where a clause does not specify who it applies to, it applies equally to both Business Clients and Consumers.
2. WEBSITE TERMS OF USE (VISITORS)
By accessing our Website, you agree to use it only for lawful purposes. You must not:
Attempt to gain unauthorized access to our Website, server, or connected databases.
Use automated systems, bots, or scrapers to extract data or content without our written permission.
Introduce viruses, malware, trojans, or malicious code to the Website.
Frame or link to our Website in a manner that suggests endorsement or association where none exists.
We do not guarantee that our Website will be operational, error-free, or available at all times.
3. OUR SERVICES & SCOPE OF WORK
The scope, deliverables, timeline, and fees for each project are defined in your Project Contract.
Scope Boundaries: Any work requested outside the agreed scope (including additional pages, custom code extensions, or extra revisions beyond the limit stated in your Project Contract) will be quoted separately and must be approved in writing before execution.
Geographic Target: Our Services are structured for clients and target audiences within the United Kingdom. If you access or direct Services outside the UK, you remain solely responsible for compliance with local regulations.
4. CLIENT RESPONSIBILITIES & DELAYS
To deliver projects on or before a promised date, we rely on your prompt cooperation. You agree to:
Provide all required materials (text, high-resolution imagery, brand guidelines, account access details) by the dates specified in your Contract.
Provide feedback and approvals within within the timeframe agreed in your Contract of a request. Failure to do so may result in a project delivery delay.
Guarantee that all materials supplied to us are owned by you or that you hold valid licenses for their use.
Project Delays & Inactive Projects
Timeline Adjustments: Client delays in supplying materials or feedback will automatically extend target delivery dates.
Idle Project Fee: If a project is paused or delayed by the client for more than thirty (30) consecutive days without prior written agreement, we reserve the right to invoice immediately for all work completed up to that point. Resuming an idle project will be subject to our current availability and may incur a re-boarding fee equal to 10% of the total project fee.
5. FEES, INVOICING, AND PAYMENT
Quotes & Deposits: Quotes are valid for 30 days from issuance. A non-refundable deposit (as specified in your Project Contract) is required before work commences.
Payment Terms: Invoices are payable immediately unless explicitly stated otherwise in the Project Contract. Final balance invoices must be settled in full prior to website launch, domain transfer, or handover of site administration rights.
Late Payments (Business Clients): Under the Late Payment of Commercial Debts (Interest) Act 1998, late payments by Business Clients will incur statutory interest at 8% above the Bank of England base rate, plus statutory debt recovery compensation.
Suspension of Service: We reserve the right to suspend work, withhold deliverables, or temporarily revoke site access if invoices become overdue.
6. TESTING, ACCEPTANCE, AND HANDOVER
Upon completion of the website or deliverable, we will present the site to you for review and testing in a staging or preview environment.
Review Window: You have seven (7) calendar days from notification of completion to review the deliverable and report any technical defects or variance from the agreed Project Contract in writing.
Deemed Acceptance: A deliverable is deemed fully accepted, triggering final billing and completion, if:
You do not provide written feedback or defect reports within the 7-day review window; or
You publish, launch, or use the deliverable for commercial purposes.
7. CANCELLATION AND COOLING-OFF RIGHTS
Business Clients
Business Clients may cancel a project at any time by giving written notice. Upon cancellation, you must pay for all work completed up to the date of cancellation calculated on a pro-rata basis, plus any committed third-party expenses (e.g., domain purchases, premium plugin licenses). Deposits are non-refundable once work has commenced but will be credited against amounts owed.
Consumers (Distance Selling & Cooling-Off)
If you are a Consumer and contract with us at a distance (e.g., online or via email):
Right to Cancel: You have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel within 14 days of entering into the contract without giving a reason.
Early Performance: If you request us to start work immediately within the 14-day cancellation period, you acknowledge that if you subsequently cancel, you must pay for the service supplied up to the date of cancellation in proportion to the total fee.
Loss of Cancellation Right: If the service is fully performed within the 14-day period at your express request, your right to cancel is lost once performance is complete.
8. INTELLECTUAL PROPERTY RIGHTS
Our Intellectual Property
We retain ownership of all pre-existing materials, design frameworks, reusable code snippets, base templates, methods, and proprietary tools ("Our Content"). Nothing in these Legal Terms transfers ownership of Our Content to you.
Client Deliverables
Upon receipt of full and final payment:
Ownership of unique custom design work, bespoke copy, and graphic assets created specifically for you transfers to you.
We grant you a non-exclusive, perpetual, worldwide license to use Our Content embedded within your website solely for operating that specific website.
Third-Party Materials & Platforms
Third-party elements - including Squarespace platform code, stock photos, third-party software, fonts, and plugins - remain subject to the respective licenses of their authors or owners.
Portfolio Rights
We reserve the unwavering and unending right to showcase the completed project, visual screenshots, and portions or summaries of work in any venue, format or place including our professional portfolio, website, case studies, and social media channels.
9. SQUARESPACE, WIX & THIRD-PARTY PLATFORMS
Our Services rely on third-party infrastructure, including Squarespace, domain registrars, hosting providers, and third-party APIs (e.g., payment gateways, scheduling tools).
Account Transfer: Sites will be built either in your existing account or transferred to you upon completion and full payment. You are solely responsible for maintaining account ownership, paying platform subscription fees, and managing domain renewals.
Third-Party Changes: We are not responsible or liable for platform downtime, core code updates, feature deprecations, policy changes, or price revisions made by Squarespace or third-party service providers.
10. LEGAL PAGES, COMPLIANCE & ACCESSIBILITY
General Templates
Legal documents provided as part of our web packages (such as generic Terms & Conditions, Privacy Policies, Cookie Policies, and Disclaimers) are standard starter templates provided for convenience only. We are not solicitors and do not provide legal advice. You are solely responsible for having these pages reviewed and adapted by a qualified legal professional to ensure compliance with your specific industry and operational practices.
Cookie Banners & Analytics
Where cookie banners are installed, they are configured using native platform tools or standard third-party software based on your input. You are responsible for auditing banner behavior to ensure it matches your Privacy and Cookie Policies when new tracking tools, ad pixels, or scripts are added.
Accessibility Disclaimer
We build websites using standard digital best practices toward accessibility (e.g., semantic HTML headers, alt text capabilities, legible contrast). However, due to platform limitations and ongoing client content updates, we do not warrant that the website will fully satisfy specific standards (e.g., WCAG 2.1 AA) or the Equality Act 2010. Final responsibility for ongoing accessibility compliance remains with you.
11. SEO & COPYWRITING DISCLAIMER
While our copywriting and SEO practices follow current search engine guidelines:
We do not guarantee specific search rankings, traffic volumes, lead generation numbers, or sales conversion rates.
Search algorithms, competitor actions, and market trends are outside our control. We are not liable for changes in rankings or traffic drops resulting from algorithmic updates by search engines (e.g., Google) or AI search platforms.
12. ONGOING MAINTENANCE PLANS & POST-HANDOVER
Maintenance Contracts
If you purchase an ongoing maintenance plan, specific inclusions, response times, and billing frequencies will be outlined in your Contract.
B2B Termination: Business Clients may cancel maintenance plans by giving thirty (30) days' written notice prior to the end of the current billing cycle.
B2C Termination: Consumers may cancel recurring maintenance plans at any time prior to the next billing cycle in accordance with the Digital Markets, Competition and Consumers Act 2024.
Post-Handover (No Maintenance Plan)
If you do not hold an active maintenance plan with us:
Our liability ends upon project handover and final payment.
We are not responsible for site updates, software breakages, security breaches, hacking, malware, data loss, or errors caused by edits made by you or third parties after handover.
Warranty Period: We will fix genuine technical errors in our original work reported in writing within thirty (30) days of handover at no charge. Out-of-warranty fixes or edits requested after 30 days will be billed at our standard hourly rate.
13. DATA PROTECTION & PRIVACY
Both parties will comply with applicable UK Data Protection legislation, including the UK GDPR and the Data Protection Act 2018.
Our Role as Controller: We collect and process your personal details to fulfill our contract with you in accordance with our Privacy Policy.
Our Role as Processor: Where we access or handle personal data on your behalf during website build or maintenance (e.g., exporting form submissions, setting up user lists):
We act as a Data Processor and process data solely on your documented instructions.
We implement appropriate technical and organizational measures to safeguard such data.
You act as the Data Controller and warrant that you have lawful grounds and privacy notices in place to collect and share such data with us.
14. LIMITATION OF LIABILITY
Universal Terms
Nothing in these Legal Terms limits or excludes liability for:
Death or personal injury caused by negligence;
Fraud or fraudulent misrepresentation; or
Any other liability that cannot be excluded or restricted under Scottish or UK law.
Terms for Business Clients
Subject to the universal terms above:
We will not be liable for any indirect, special, or consequential loss, or for any loss of profit, loss of business, loss of revenue, loss of goodwill, loss of data, or operational downtime.
Our total cumulative liability arising out of or in connection with a project (whether in contract, delict/tort including negligence, or otherwise) is capped at 100% of the total fees paid by you under the specific Project Contract giving rise to the claim.
For ongoing maintenance contracts, total liability is capped at the total fees paid by you under the plan in the twelve (12) months preceding the claim.
Terms for Consumers
If you are a Consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our failure to use reasonable care and skill or our breach of contract. We are not responsible for any commercial or business losses you suffer (e.g., lost profit or business interruption).
15. INDEMNITY (BUSINESS CLIENTS)
If you are a Business Client, you agree to indemnify, defend, and hold harmless Regan Web Design against all liabilities, costs, expenses, damages, and losses (including reasonable legal fees) arising out of or in connection with:
Any claim that content, imagery, or materials provided by you infringe the intellectual property rights or privacy rights of a third party;
Factual misrepresentations contained in client-supplied text; or
Your breach of these Legal Terms or applicable laws.
16. GOVERNING LAW AND JURISDICTION
These Legal Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of Scotland.
Business Clients: The Scottish courts have exclusive jurisdiction to settle any dispute or claim.
Consumers: The Scottish courts have jurisdiction, but if you reside in England, Wales, or Northern Ireland, you may also bring proceedings in the court of your home nation.
Dispute Resolution
Before initiating legal action, both parties agree to make good-faith efforts to resolve any dispute informally through negotiation within thirty (30) days of written notice of the dispute.
17. GENERAL PROVISIONS
Severability: If any court finds a provision of these Legal Terms invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force.
Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.
Entire Agreement: These Legal Terms, alongside the Contract, Privacy Policy, and Cookie Policy, etc. constitute the complete agreement between the parties.
Force Majeure: Neither party will be liable for performance delays or failures resulting from events beyond reasonable control (including severe weather, utility outages, acts of government, or widespread internet infrastructure failure).
